Terms of Service

1. Acceptance of Terms

By creating an account or using SmartMQ (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using SmartMQ on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

SmartMQ is a field service management application for curtain and blind installation businesses, operated by JJ Smart Holding Limited ("SmartMQ", "we", "us", "our"). The Service includes workflow tools for lead management, on-site measuring, quoting, ordering, invoicing, and job scheduling.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts and Access

  • ·You must be at least 18 years old to create an account.
  • ·You are responsible for keeping your password secure and for all activity under your account.
  • ·You must provide accurate information when creating your account.
  • ·Each account is for a single business entity (franchise). You may invite team members under your account.
  • ·You may not share login credentials between multiple businesses.

4. Subscription and Billing

SmartMQ is offered on a subscription basis. Pricing, plan features, and billing cycles are described on our pricing page at smartmq.app/#pricing.

  • ·Free trial: Each plan includes a 30-day free trial. No credit card is required to start a trial.
  • ·Billing: After the trial, your chosen plan is billed monthly. Payment is processed via Stripe.
  • ·Cancellation: You may cancel at any time. Your access continues until the end of the current billing period.
  • ·Refunds: We do not provide pro-rata refunds for unused time in a billing period, except where required by applicable law.
  • ·Plan changes: Upgrades take effect immediately. Downgrades take effect at the next billing cycle.
  • ·Failed payments: If payment fails, we will retry and notify you. Continued non-payment may result in account suspension.

5. Acceptable Use

You agree not to:

  • ·Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • ·Upload content that is defamatory, obscene, threatening, or violates any third party's rights.
  • ·Attempt to gain unauthorised access to any part of the Service or another user's data.
  • ·Use automated means (bots, scrapers) to access the Service without our written permission.
  • ·Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • ·Resell or sublicence the Service to third parties without our prior written consent.

6. Your Data

You retain ownership of all data you upload to SmartMQ, including customer information, job records, photos, and measurements ("Your Data").

By using the Service, you grant us a limited licence to store, process, and display Your Data solely to provide the Service to you.

We will not sell Your Data to third parties. We may use aggregated, anonymised data to improve the Service.

7. Intellectual Property

The SmartMQ application, including its design, code, branding, and content (excluding Your Data), is the intellectual property of JJ Smart Holding Limited and is protected by copyright and other applicable laws.

We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription term.

8. Third-Party Integrations

The Service integrates with third-party platforms including Google Firebase, Brevo, Stripe, ClickSend, Meta, and others. Your use of these integrations is also governed by the respective third-party terms of service. We are not responsible for the availability or performance of third-party services.

9. Service Availability

We aim to provide a reliable service but do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance where possible. We are not liable for interruptions caused by third-party service outages, internet connectivity issues, or events beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SmartMQ and JJ Smart Holding Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, loss of data, or business interruption.

Our total liability to you for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, uninterrupted, or free of viruses or other harmful components. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless JJ Smart Holding Limited and its directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) Your Data; or (c) your violation of any law or third-party rights.

13. Termination

Either party may terminate this agreement at any time.

You may close your account from within the app or by contacting us at info@smartmq.app. We may suspend or terminate your account if you breach these Terms, fail to pay, or for legal or regulatory reasons. Upon termination, your access to the Service will cease. We will retain Your Data for up to 90 days following termination, after which it may be deleted. You may request an export of Your Data before termination.

14. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Zealand.

If you are a consumer in Australia, nothing in these Terms limits any rights you have under the Australian Consumer Law.

15. Changes to These Terms

We may update these Terms from time to time. We will notify active users by email or in-app notification at least 14 days before material changes take effect. Continued use of the Service after changes take effect constitutes your acceptance of the new Terms.
